Taipei Baseball Club's Articles of Association

Chapter 1 General Provisions
 
Article 1 The Taipei Baseball Club (hereinafter referred to as the Club) is formulated in accordance with the "Ming Chuan University Student Association Activities Guidance Measures" (hereinafter referred to as the Articles of Association).
 
Article 2 The purpose of the establishment of the Society is to
 
1. Through baseball, improve the baseball atmosphere of Taipei campus and provide members with a professional, safe and harmonious training environment.
 
2. Actively participate in the competition to expose the positive image of the school.
 
3. Cultivate the sports habits of Ming Chuan students and the sports spirit of mutual assistance and cooperation.
 
Article 3 The club is located in the headquarters of Ming Chuan University, No. 250, Section 5, Zhongshan North Road, Taipei City.
 
Article 4 The guidance unit of this club is the extracurricular activities guidance group of the Student Affairs Office.
 
Article 5 The instructors of this club are hired according to Ming Chuan University's "Student Association Refers (Counseling) Instructors Selection Method".
 
Chapter II Members
 
Article 6 Any student in the school who agrees with the purpose of the club, is approved by the application, and pays the social fee, is a member of the club.
 
Chapter III Rights and Obligations
 
Article 7 Rights of members:
 
All members of the club have the right to vote, to be elected, to be recalled, and to serve as a member of the club.
All members of the club can exercise the right to propose, speak and vote.
Attend a membership meeting.
Participate in various activities organized by the company.
Use the company's software and hardware facilities.
Article 8 Obligations of members:
 
Comply with the articles of association of the company.
Implement the resolutions of the member meeting.
Pay social dues.
Maintain the reputation of the society
Participate in member meetings.
Assist in the promotion of various community affairs.
Article 9 Any member who violates the following provisions shall lose his membership after being voted and approved by the member meeting:
 
Facts that damage the reputation of schools and associations.
There are facts that violate the regulations of the company.
Has the fact of harming members.
The fact that there is an illegal act.
Chapter 4 General Meeting of Members
 
Article 10 The highest authority of the Society is the General Assembly.
 
Article 11 The functions and powers of the membership meeting:
 
Formulate and amend laws and regulations.
Review and resolve various budget proposals and final accounts
Review monthly, semester and annual reports of accounts.
Review work plans and activity calendars.
The right to elect, remove and appoint the president, vice president and cadres.
Oversee the operation of various community affairs.
Deliberate on proposals.
Check community property.
Article 12 The general meeting of members shall be convened by the president at least once every semester. If the president cannot exercise his powers for some reason, the vice president may convene it; if both the president and the vice president are unable to convene, the executive secretary may convene the cadres to elect a representative to act as their representative. .
 
Article 13 The general meeting of members shall be attended by more than half of all members, and a resolution cannot be made until more than half of the number of attendees agree; however, if the number of participants is not more than half, the general meeting of members may be held on another day.
 
Article 14 In the event of one of the following circumstances, the president shall convene a general meeting of members within seven days:
 
More than one-fifth of the members jointly signed the proposal.
More than one-half of the cadres jointly signed the proposal.
The president and vice president proposed to hold the meeting.
Chapter 5 President and Vice President
 
Article 15 The Society shall have one president and one vice president each, and the term of office is one academic year and cannot be re-elected.
 
Article 16 The president is the leader of the club, responsible for the club instructor and member assembly, representing the club externally, and implementing and promoting club affairs.
 
Article 17 The president shall report the operation status to the instructor of the club on a monthly basis.
 
Article 18 The vice president shall assist the president in general management of social affairs, and when the president is unable to exercise his powers, he shall be authorized by the president to act on his behalf.
 
Article 19 After the new president is elected, cadres shall be selected within one month, and they shall exercise their functions and powers after being appointed by the general meeting.
 
Article 20 When the president is dismissed, loses membership, or is unable to exercise his functions and powers for some reason, the vice president shall be replaced as the official president.
 
Article 21 When both the president and the vice president are dismissed, lose their membership qualifications, or are unable to exercise their powers for any reason, an acting president shall be elected by the cadres and a by-election shall be held within two weeks; Until the authority is generated, the authority of the original cadre shall be represented by the group (department) member designated by the acting president, and the term of office shall be the unfinished term of the original office.
 
Chapter VI Organization of Cadres
 
Article 22 The cadres of the club must be nominated by the president to the general assembly of members, and appointed with the approval of the general assembly of members. The cadre organization is a responsible cabinet system, which is the highest administrative body of the club, and the daily meeting and activities of the prime minister.
 
Article 23 The president of the agency has a vice president and four groups (departments), including finance, public relations, equipment, and activities. Each group (department) has a group (department) leader and group (department) members. several names.
 
Article 24 The cadre meeting shall be convened by the president once a month, attended by the president, vice presidents and heads of each group (department) group (department). If the president is unable to attend, the vice president will act on his behalf; if the president and vice president are unable to attend, another meeting will be held within two weeks.
 
Article 25 The cadres of this club have the obligation to participate in the cadre meeting. The cadre meeting shall be attended by more than half of the quorum, and more than two-thirds of the attendees agree to make a resolution.
 
Article 26 The positions of cadres are classified as follows:
 
Finance team (department) - set up a team (department) leader and a number of team (department) members
Various accounting related affairs of the company.
Manage and record the revenue and expenditure of various funds of the company and make account books.
Compile the budget and final accounts of the club and each group (department) and submit it to the member meeting for review.
Prepare various account income and expenditure statements of the company and submit them to the member meeting for review.
Formulate and revise the company's "fund management method" and submit it to the members' meeting for deliberation.
Obligation of accounting report to the general meeting of members.
Announcement of financial statements related to the resolutions of the general meeting of economic and social members on a regular basis.
Keep the account book of the company.
Public relations group (department) - set up one group (department) leader and several group (department) members
Responsible for the communication and friendship between the club and other clubs, inter-school and external units.
Send and receive PR letters and event promotions.
Coordinate activities and community sponsorship matters, and cooperate with the president to sign contracts.
Equipment group (department) - set up a group (department) leader and several group (department) members
The company's various property custody, inventory, borrowing and maintenance affairs.
Formulate and revise the company's "equipment management method" and submit it to the members' meeting for deliberation.
Create "Property Registration Card" and "Property Inventory" and file them for safekeeping.
Procurement of equipment required by the company.
Apply for borrowing equipment, passes and vehicles required for our teaching and activities.
Activity group (department) - set up a group (department) leader and a number of group (department) members
Responsible for the application and result reports of various exercises, competitions, activities and other matters held by the club inside and outside the school.
Confirm that all activities of the company are held smoothly, and be responsible for the production, purchase and maintenance of the required resources.
Article 27 Each group (department) shall put forward an activity plan two weeks before the end of each semester, which shall be reviewed and approved by the cadre meeting.
 
Article 28 The cadres of each group (department) shall report the work plan to the member meeting, and the president shall propose a general budget, which shall be funded after the resolution of the member meeting is passed.
 
Article 29 If there is any doubt about the final accounts after the handover of each group (department), the original person in charge shall explain the doubt to the general meeting of members.
 
Article 30 When a cadre is dismissed, loses membership, or is unable to exercise his powers for some reason, another candidate recommended by the president shall be appointed after approval by the general assembly, and the term of office shall be the unfinished term of the original term.
 
 
 
Chapter VII Election and Recall
 
Article 31 The president is elected by universal suffrage of all members. The term of office is one academic year.
 
Article 32 Qualifications for the candidacy of the president:
 
Those who have the student status of the school.
The membership or cadre of the club has been qualified for more than two semesters (inclusive).
Those with no demerit records.
Semester scores of 65 or more, conduct scores of 80 or more.
Article 33 The election procedure for the president:
 
Candidates will be registered with the executive secretary within the announcement time, and proposals will be made at the member meeting and elections will be held on the spot.
In the election of the same amount (single group), the election shall be made with the consent of more than two-thirds of the members attending the general meeting.
In the case of multiple groups, the one with the highest number of votes is elected.
After the voting is completed, the ballots will be open to the public immediately, and the election results will be announced
Article 34 Elections may be conducted by ordinary, equal, direct and secret ballot.
 
Article 35 Ballots should be printed during elections, and the candidate's number, photo, name, department rank, and circled columns of "Agree" and "Disagree" should be printed on the ballot; show others.
 
Article 36 A ballot paper shall be invalid if one of the following circumstances occurs:
 
Ballot papers not printed by this agency.
Circle "Agree" in the multiple candidate fields.
Unable to identify who was circled.
After the circle is selected, it is modified or added with other words, numbers, patterns and symbols.
Signed, stamped, and fingerprinted.
Destroy ballot papers beyond recognition.
Candidates without circle selection.
Article 37 If there is no registration of the president within the registration time, it can be extended once. If there is still no registration within the second announcement time, the current president will hold a cadre meeting to select the president candidate and submit it to the member meeting for deliberation and appointment.
 
Article 38 The vice presidents, executive secretaries and heads of each group (department) group (department) shall be selected by the president through a cabinet system. The new president also nominates a new cabinet cadre and submits it to the membership meeting to exercise the right of consent.
 
Article 39 The relevant clauses of "removal" of the club are applicable to the president, vice president, executive secretary and all cadres, but when the object of recall is the president, vice president and executive secretary, the relevant procedures of the original recall case must be approved by the instructor and appoint another person acting.
 
Article 40 The proposal of recall may be proposed by a member, and a letter of reasons should be attached to the executive secretary. The letter of reason must be jointly signed by more than half of all members.
 
Article 41 The executive secretary shall check the relevant materials within one week after receiving the recall proposal, and request the vice president to convene a general meeting for deliberation within one week after the materials are confirmed to be factual. The relevant time schedule can be adjusted according to the scope of fact-checking, but the above procedures must be completed within one month of the time when the recall case is submitted.
 
Article 42 When voting on a recall proposal, a recall ballot shall be printed, and columns such as "agree to recall" and "disagree to recall" shall be printed on the recall ballot for voters to circle; content to show others.
 
Article 43 The number of votes for a recall proposal must be attended by more than half of all members, and the recall proposal is passed when there are more votes for recall than those for recall. If the number of votes does not comply with the above-mentioned provisions or the number of dissenting votes exceeds the number of agreeing votes, the recall proposal will be rejected.
 
Article 44 After voting on a recall case, the voting result shall be announced within seven days. If the recall case is established, the person to be removed shall be removed from his post from the date of announcement, and the original post shall be replaced by an agent or by-election in accordance with the provisions of this Articles of Association.
 
Chapter VIII Funds
 
Article 45 The source of funds for the agency:
 
Social fees paid by members.
School or institutional grants.
PR sponsorship.
donated income.
Other income.
Article 46 Social fees shall be collected once per semester, and the amount and method of collection shall be made only after the resolution and approval of the members' meeting, and the same shall apply for amendments.
 
Article 47 After paying social dues, no refund shall be requested except in the event of a major accident, suspension, withdrawal, or transfer.
 
Article 48 For those who meet the conditions for refunds, the club will review the social fees paid for the current semester as a principle, and those who refund fees may not request to retroactively pay social fees. The agency will refund the fees according to the following ratios:
 
Those who apply for a refund within two weeks after the start of the semester will receive a full refund.
If you apply for a refund within one third of the semester after the start of the semester, two-thirds of the social fee will be refunded.
For those who apply for a refund within two-thirds of the semester after the semester begins, one-third of the social fee will be refunded.
However, no refund will be given if two-thirds of the semester has elapsed since the start of the semester.
Chapter IX Handover
 
Article 49 When the old and new presidents of the association are handed over, the old presidents should prepare "various seals", "post office or bank deposit books", "account books", "property inventory" and other tokens that symbolize the spirit of the association However, the accounts listed in the account book should be settled until the handover date.
 
Article 50 The materials of each group (department) shall be handed over by each group (department), and the handover information sheet shall be signed and verified as proof.
 
Chapter 10 Supplementary Provisions
 
Article 51 When there is any doubt about this Articles of Association, it may be interpreted or amended after discussion at the general meeting of members.
 
Article 52 Amendments to the Articles of Association shall be jointly signed by more than one-fifth of all members, attended by more than one-half, and approved by more than two-thirds of the number of attendees.
 
Article 53 This charter shall be approved by the instructor after being approved by the member meeting, and shall be announced by the president of the club for implementation, and shall be sent to the extracurricular activities guidance team of the Student Affairs Office for reference, and the same shall apply to amendments.
